About these terms

These terms govern your use of showupseo.com and any engagement for the ShowUpSEO customer-acquisition system service. By visiting the site or engaging ShowUpSEO, you agree to these terms.

ShowUpSEO is operated by Levi Cornwell as a sole proprietorship based in the Dallas-Fort Worth Metroplex, Texas.

The service

ShowUpSEO builds and runs an autonomous customer-acquisition system for your business. The engagement has two parts: a one-time install, in which we design, configure, and launch the system, and an ongoing monthly service, in which we run, monitor, and optimize it after it is live.

The methods, tools, and processes used to build and run the system are ShowUpSEO's own. We provide the outcome of the work; we do not transfer or document the underlying method as part of the engagement.

Pricing and payment

The engagement is priced as a one-time install fee of $5,000 plus a recurring monthly service fee of $1,000. Payment is processed by Stripe. We do not store your card information.

The install fee is billed at the start of the engagement. The monthly service fee is billed each month for as long as the service is active. Full billing and cancellation terms are in our Billing & Cancellation policy.

Timeline

Install timelines are agreed at the start of the engagement and depend on the information you provide during onboarding. Delays in submitting onboarding information may extend the build. The monthly service begins once the system is live.

Cancellation and refunds

The monthly service is month-to-month and may be cancelled at any time with written notice; the install fee is non-refundable once the build has begun. We do not guarantee specific results, and fees are for the work performed, not contingent on outcomes.

Client responsibilities

To build and run the system effectively, we require accurate information about your business, including your services, target market, named competitors, and your domain and relevant business profiles. We are not responsible for results that suffer due to inaccurate or incomplete information, or due to access we request but are not granted. We will ask clarifying questions when warranted.

You agree to provide reasonable, timely access to any accounts or assets needed to run the system. You agree not to disclose ShowUpSEO's methods, processes, or configurations to parties outside your business.

Confidentiality

We treat your business information as confidential. Your data is not shared with third parties except as needed to deliver the service (for example, third-party data and search APIs that include the business name and location). We do not publish, resell, or aggregate client data.

If we wish to use anonymized findings for case studies or marketing, we will request your permission in writing.

Limitation of liability

Outcomes depend on factors outside our control: market changes, search engine and AI assistant algorithm updates, competitor actions, the accuracy of the information and access you provide, and more. ShowUpSEO does not guarantee specific ranking improvements, lead volume, traffic increases, or revenue outcomes.

Total liability for any claim arising from this engagement is limited to the fees you paid to ShowUpSEO in the three months preceding the claim.

Intellectual property

The system, along with the methodology, scripts, configurations, and templates used to build and run it, is ShowUpSEO's intellectual property. While the monthly service is active, the system runs on your behalf. Information specific to your business is yours; the underlying structure and process are not, and they are not transferred to you on cancellation.

Termination

You may cancel the monthly service at any time with written notice, as described in our Billing & Cancellation policy. ShowUpSEO may terminate or decline to continue the engagement, in which case future monthly charges stop. The install fee is non-refundable once the build has begun, and the month in progress at cancellation is not refunded.

Governing law

These terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any dispute arising out of these terms will be resolved by binding arbitration in Dallas County, Texas, except that either party may seek injunctive relief in court for intellectual property matters.

Changes to these terms

We may update these terms. The "Last updated" date reflects the most recent change. Material changes will be communicated by email if you are an active client. Continued use of the service after changes constitutes acceptance.
